Why Durian Advisory was established
Durian Advisory was founded to address a consistent gap in Singapore's professional services market: organisations that needed serious governance and compliance support but found available options either too large and impersonal, or too limited in regulatory depth.
Our founders observed that board effectiveness reviews were often conducted superficially, and that statutory filings were frequently treated as administrative burdens rather than compliance obligations requiring careful attention. Regulatory deadlines were missed. Governance frameworks were borrowed rather than considered. Internal resources were stretched across obligations that required dedicated expertise.
The practice was built around a straightforward proposition: that governance and compliance work deserves the same rigour and professional attention as any other area of corporate advisory. That the quality of a board charter or a compliance audit report reflects the quality of the practice that produced it.
Since our establishment in the Robinson Road district of the Singapore Central Business District, we have advised listed companies, significant private enterprises, and not-for-profit organisations navigating the full range of Singapore's corporate regulatory framework — from ACRA annual return obligations to complex governance restructuring for entities seeking listed company status.
// mission
Clear governance. Sound compliance.
To support Singapore organisations in building governance structures that are functional, defensible, and aligned with the expectations of regulators, shareholders, and stakeholders.
// values
What guides our work
- Accuracy — We do not approximate. Every filing, every assessment, every document is prepared with the care it requires.
- Candour — We advise based on what is legally and professionally sound, not what is most convenient to hear.
- Discretion — Governance and compliance matters are handled with complete confidentiality as a matter of professional practice.

Corporate governance and compliance in Singapore's regulatory context
Singapore maintains one of the most developed and demanding corporate governance frameworks in the Asia-Pacific region. The Accounting and Corporate Regulatory Authority administers the statutory framework within which all Singapore-incorporated companies must operate, while the Monetary Authority of Singapore sets standards for market participants and financial institutions. Listed companies are additionally subject to the requirements of the Singapore Exchange.
For organisations managing these obligations without dedicated internal governance and compliance resources, the complexity of maintaining timely, accurate, and defensible compliance records can place meaningful strain on management time. Board directors, in particular, carry personal legal obligations under the Companies Act that require careful attention to process and documentation.
Durian Advisory's practice is structured around the specific demands of Singapore's regulatory environment. Our advisers have developed their expertise through sustained engagement with ACRA filings, MAS regulatory interaction, SGX Listing Rule compliance, and the practical application of the Singapore Code of Corporate Governance. This focus allows us to deliver advice and documentation that is precise, current, and appropriate to each client's circumstances.
